We advised Viacom 18 and Reliance Group on the transaction, which included negotiations, drafting and finalisation of the transaction documents and transaction support. CAM’s role involved assisting in detailed negotiations, balancing the interests of Reliance Group against two counter parties i.e. Bodhi Tree Systems and Paramount Global (existing shareholder of Viacom18). This also included advising Viacom 18 and Reliance Group on the updated structure of the transaction, to accommodate revised investment routes.
We also advised on the scheme of arrangement between Viacom18 and RSL and the related company petition filed with the National Company Law Tribunal, Mumbai, for the approval of the scheme. The approval of the NCLT was obtained is very short timeline of 2 months.
