Radhika Gaggar

Radhika co-heads the Private Client Practice & Japan desk of the firm.

In the private client space, Radhika specializes in estate and succession planning (especially its cross-border aspects and interplay with the Indian exchange control regime, takeover regulations, and personal laws), family settlements and constitutions, and establishment of trusts.

Radhika has extensive experience in advising families, promoters of large corporate houses as well as professional wealth management and fiduciary service providers in relation to establishment and operation of trusts (both in India and overseas), restructuring of existing trust structures, and preparation of wills and family constitutions. She has been instrumental in negotiating and implementing high-profile family settlements.

She also advises on establishment of charitable institutions to aid and promote the philanthropic endeavours of individuals, families, and corporates.

Radhika also advises on general corporate matters with a special focus on private acquisitions and India inbound and outbound foreign investments, and corporate restructuring including by way of schemes of arrangement.

Her expertise on Japan related relationships and transactions has been greatly fortified by her secondment to the Tokyo office of Anderson, Mori and Tomotsune, one of the leading law firms in Japan, for a period of 9 months. She has also authored articles on investments into and doing business in India. She travels regularly to Japan for India focused seminars.

Professional Experience

• Advised a family branch of the TVS family in relation to their family settlement.
• Advised Piramal group on the composite scheme of arrangement in relation to their financial and pharma businesses restructuring and subsequent listing of Piramal Pharma.
• Advised on demerger of undertakings of Dhampur Sugar into Dhampur Bio Organics (its WOS), followed by listing of Dhampur Bio Organics and transfer of shares inter se promoters of the companies.
• Advised Piramal Enterprises in relation to sale of 20% stake of its pharmaceuticals business to Carlyle Group.
• Acquisition of Essar Oil by Rosneft Oil Company, a USD 12.9 billion deal, and the largest ever FDI deal into India and also largest outbound acquisition by Russia.
