Sindhushri Badarinath is a part of the General Corporate practice of the Firm.

With over 15 years of experience, Sindhushri’s areas of practice encompass advisory on India entry strategy, corporate matters such as reconstitution of board of directors, managerial remuneration, executive appointment and exits, post listing compliances for companies (which includes navigating proxy advisory firms on critical corporate governance matters), foreign contributions/grants, limited liability partnership structuring and compliances.

Sindhushri also advises on structuring employee benefits such as employee stock options, stock appreciate rights, phantom stock, sweat equity, etc. and their implementation (including through a trust structure), restructuring (pursuant to investments, acquisitions, listing or court based schemes), and winding up, for listed and unlisted companies.

Her clientele span across sectors, including information technology / ITES, healthcare, manufacturing and not-for-profit organisations.

 

Relevant Experience:

  • Sindhushri has assisted many multinational companies in relation to the establishment of their business in India, including True Software (Trucaller), National Australia Bank, Spaulding, Calix, Talend. This includes advice on entry strategy (including in relation to foreign investment), incorporation of companies and limited liability partnerships, and drafting of relevant contracts and agreements.
  • She has advised on structuring the incorporation by global foundations of their Indian arms/operations including key foreign contribution / grant (FCRA) related compliances.
  • She has advised on various share based benefits schemes, including employee stock options, share purchase schemes, phantom stock schemes, stock appreciation rights and sweat equity schemes. Her clients include Bajaj Housing Finance, Veritas Finance, Indegene, Piramal Pharma, CarTrade, BigBasket, Magma HDI, M2P Solutions, Beminimalist, Gokwik Commerce, Bridgei2i, Playsimple etc.
  • She regularly advises on general corporate advisory and her clients include Navi Technologies, Calix International, Zomato, Aliaxis Group, Global Energy Alliance for People and the Planet (GEAPP, set up and backed by Rockfeller Foundation, IKEA Foundation and Bezos Earth Fund), Dorman International etc.
